1. Acceptance of Terms

By accessing or using the Obi Expeditions website, services, or any associated platforms (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Obi Expeditions Limited ("Company," "we," "us," or "our"), a company registered in Nigeria. By using the Services, you represent that you have the legal capacity to enter into these Terms.

2. Description of Services

Obi Expeditions provides technology infrastructure systems including but not limited to educational technology platforms, research publications, automation tools, and related services. Our Services are designed to support institutions, businesses, and individuals across Africa and beyond.

Our flagship product, Tannok, is an education infrastructure system that provides school result management, learning management, and academic lifecycle services to educational institutions across Nigeria and Africa.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. User Eligibility

By using the Services, you confirm that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal authority to enter into these Terms
• You will use the Services in compliance with all applicable local, national, and international laws and regulations
• The information you provide to us is accurate, current, and complete

If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Intellectual Property Rights

All content, materials, trademarks, trade dress, logos, and intellectual property displayed on the Services are owned by or licensed to Obi Expeditions Limited. This includes but is not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Services without our prior written consent. The "Obi Expeditions" name and brand, the "Tannok" brand, and all related logos are proprietary trademarks.

5. Acceptable Use

You agree not to use the Services for any unlawful purpose or in violation of these Terms. Prohibited activities include but are not limited to:

• Attempting to gain unauthorized access to our systems or user accounts
• Introducing malware, viruses, or other harmful code
• Engaging in data scraping, crawling, or harvesting without permission
• Impersonating any person or entity
• Interfering with the proper functioning of the Services
• Using the Services to distribute unsolicited communications

We reserve the right to investigate and take appropriate legal action against any user who violates these provisions, including suspending or terminating access to the Services.

6. Third-Party Links & Services

The Services may contain links to third-party websites, platforms, or services that are not owned or controlled by Obi Expeditions Limited. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

We use third-party infrastructure providers for hosting, content delivery, and data processing. These providers operate under their own terms of service and data processing agreements. We do not disclose specific provider identities to maintain operational security.

Your interactions with any third-party services are solely between you and the third party. We encourage you to review the terms and policies of any third-party services you access through our platform.

7. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Obi Expeditions Limited disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We make no warranty regarding the accuracy, reliability, or completeness of any content or information obtained through the Services.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Obi Expeditions Limited, its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Services.

Our total liability to you for any claim arising from or relating to these Terms or the Services shall not exceed the amount paid by you, if any, for accessing the Services during the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Obi Expeditions Limited, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of or access to the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit, post, or transmit through the Services

10. Termination

We reserve the right to terminate or suspend your access to the Services at any time, without prior notice, for any reason including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitations of liability, and indemnification obligations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, specifically the laws of Delta State, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

This choice of governing law is made in accordance with the Nigerian Companies and Allied Matters Act (CAMA) 2020 and the Nigerian Constitution.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through the following process:

1. Negotiation: Parties shall first attempt to resolve the dispute through informal negotiation within 30 days
2. Arbitration: If negotiation fails, the dispute shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria
3. Venue: Any arbitration or legal proceedings shall be conducted in Asaba, Delta State, Nigeria

Each party shall bear its own costs in any dispute resolution proceeding, unless otherwise determined by the arbitrator or court.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Services. We will make reasonable efforts to notify users of material changes, including by updating the "Last updated" date at the top of these Terms.

Your continued use of the Services after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
